Virtual Corporate Meetings in Nigeria A Fall Out of the COVID 19 Pandemic

Meetings are integral to the operations of statutory corporations and incorporated companies. However, based on the current pandemic, restrictions were placed on public gatherings which meant that corporations in Nigeria (which hitherto mostly had physical meetings), could not conveniently meet at physical venues. While it was a norm for groups to hold their meetings electronically, it is questionable if corporations in Nigeria could properly hold virtual General Meetings. This article seeks to consider the regularity or otherwise of Virtual General Meetings with regards to incorporated entities under the Corporate Affairs commission.

A limited liability company (PT) or Naamloze Vennootschap (NV) is a legal entity to run a business that has capital, with the organs of the company being the General Meeting of Shareholders (GMS), Directors, and Commissioners. Based on the explanation of Law Number 40 of 2007, the appointment of the Board of Directors is the authority of the GMS. The Board of Directors has the authority to represent the company both inside and outside of the court. Likewise, the Board of Commissioners is also the authority of the GMS. The Board of Directors has the authority to supervise the company which is carried out by the Board of Directors. Directors and Commissioners are appointed for a certain term of office in accordance with the Articles of Association and/or the decision of the GMS. If their term of office has expired, the Directors and Commissioners can be reappointed. The GMS can, however, decide at any time to get rid of the Board of Directors and Commissioners.

Background: The outbreak of Covid 19 started in China in December 2019 and from then it rapidly spread around the whole world. Know a day, knowledge on the risk factors as well as the major symptoms of Covid 19 for its early detection and successful treatment of suspected Covid 19 patients. Aim of the Study: The aim of this study was to assess the risk factors and major symptoms in covid-19 suspected patients. Methods: This was a cross-sectional study and was conducted in the Department of Medicine, Shahabuddin Medical College Hospital, Gulshan, Dhaka, Bangladesh, during the period from November 2020 to March 2022. In total 126 suspected Covid 19 patients attended the mentioned hospital during the study period were selected as the study people. Data were collected from patients and/or their attendants through direct or telephonic interview by using a pre-designed questioner. The statistical analysis was done by the SPSS version 22.0. Results: In this study, in analyzing the risk factors among the participants we observed that, 10% and 7% were with ‘recent exposure to a Covid 19 patient’ and the ‘higher length of symptoms before the indexing’ respectively which were noticeable. Besides these, 6%, another 6%, 3% and 2% were with Bilateral lung infiltrates, peripheral lung infiltrates, Neutrophil count <7.5 × 103/L and LDH > 500 U/L respectively. As the major symptoms, the highest number of participants was with cough which was found among 54%. Besides this, 38%, 23% and 17% patients were found with shortness of breath, Hypoxemia/Oxygen use and lower limb swelling respectively. Conclusion: As per the findings of this current study we can conclude that, the ‘recent exposure to a Covid 19 patient’ and the ‘higher length of symptoms before starting treatment, may be considered as the most potential risk factors for suspected Covid 19 patients. On the other hand, cough is the most common symptoms for suspected Covid 19 patients.

Covid-19 has affected the world’s economic sectors, including Indonesia. This can be seen from the declining of the company’s operational activities until the threat of the company to become bankrupt, so that it can influence the stability of the country. The government tries its best to recover the economy. Therefore, the objective of this research is to test the effect of cash flow, board independence, and company size on financial distress. It is classified as causal research with quantitative approach. The population used in this research is all transportation and logistics companies listed in Indonesia Stock Exchange (IDX) period 2019-2021. The sampling technique is simple random sampling with Slovin formulation, so that there are 72 samples used after outliers. All the information of the samples are obtained from the annual financial statements downloaded from the official company’s websites. The analysis technique is multiple regression linear with SPSS 22 as a research tool. The results indicate that cash flow has a significant effect on financial distress whereas board independence and company size do not have significant effects on financial distress.

The concept of ‘New Woman’, a feminist ideal, emerged in the late 19th Century is one of the most explored themes in men and women writing. The phrase “New Woman” has been defined differently in different contexts, by men and women writers. Men writers tend to depict ‘new woman’ as the one who goes against the traditional norms and ethics to fulfill her desires following western culture and never minds her family and values, on the other hand women writers present her as progressive and conscious of her rights to contribute greatly for general welfare, playing a supportive role in the society and family. This is the significant shift that women writers focus in their writings through their realistic representation of new womanhood traumatised by socio-cultural constructs. The impetus for this study is drawn from the centrality of psychological trauma and internal anguish faced by the three generations of women characters - Kalyani, Sumi and Aru - in Shashi Deshpande’s novel, A Matter of Time, set in coterminous patriarchal Indian society. Facing the repression in the male dominated, tradition bound society, they resist the wrongs within the culturally determined space and gain their identity. The study concludes that the essence of ‘New Womanhood’ does not ascribe autonomy and individuation of woman through radicalism, rebellion or opposition of action; but expression of agency through self-actualization, as Deshpande’s repressed characters show in A Matter of Time. The research methods applied in the study shall be textual and discourse analysis along with psychoanalytic feminism.

Background: Misoprostol is an analogue of prostaglandin (PGE1) and the first registered PGN used for the treatment of peptic ulcer disease. Misoprostol should not be used in pregnant women but it can be used in termination of intrauterine fetal death (IUFD). It has been used for the induction of abortion in the first and second trimester of pregnancy. Misoprostol has already been proved to be effective and efficient for second trimester since 1987. There is insufficient information available from clinical trials to support their use to induce labor in third trimester of pregnancy. Aim of the study: The aim of this study was to describe the effect of misoprostol in third trimester of pregnancy. Methods: This retrospective study was carried out in two large hospitals in Dhaka city, which is the capital of a South Asian country, Bangladesh. The record of the studied subject was taken from the Department of Obstetrics and Gynecology of Alpha Hospital and the maternity ward of Beta Hospital from June 2018 to August 2019. The actual names of the two hospitals are pseudonym for privacy. A detailed history of each patient was taken and physical and obstetric examination were done. In total 52 patients were investigated and data were analyzed by SPSS version 23.0. Results: In this study, the primi gravida response time was found as the highest. On an average 20.34 hours was needed for the primi gravida category. In single, 2 and multi-parity cases the average pain response times were found as 16.3125, 10.3375 and 14 hours respectively. In Primi, 2nd, 3rd and 5th gravida cases the average delivery times were found 13.0714, 12.5938, 9.0769 and 3 hours respectively. Against single, two and three doses of misoprostol, the average pain response times were found 7.6875, 11.5375 and 19.25 hours respectively. Conclusion: In this study, it had been found that, most of the patient of IUFD was ‘primigravid’ (30.8%) of total respondents having complication with medical and endocrinal disease. Pre- eclampsia is more common in prim gravid than multi. There is history of thyroid dysfunction. In some cases, now a day, GDM is the cause behind IUFD.

This paper presents a real - time model of the DC motor speed control system. The PID controller is used to estimate the error between the actual speed and the set speed to adjust the Pulse - width modulation (PWM) inverter. The actual speed is measured through the encoder that provides training and testing data for PID controller. Simulation results are compared with the real-time results to address advantages and disadvantages of the system.

COVID-19 and the Shut Down of Courts in Nigeria; Any Hope for the Awaiting Trial Detainees?

The outrageous number of Awaiting Trial Inmates is one of the know fallouts of the weak criminal justice system of Nigeria. This phenomenon was egregiously exposed during the Covid-19 Pandemic. In the face of the lockdown and consequent shut down of courts, the fate of these inmates is largely uncertain. This article considers the fairness of this treatment by considering the pre-trial rights of defendants under the Nigerian Constitution. It recommends the issuance of Bondsmen Regulation to ease the process of perfecting bail in Nigeria. The article concludes by advocating for a complete over haul of the Nigerian Bail System.

The purpose of this study is to examine and analyze the weaknesses of the regulations for the execution of arbitration in adjudicating consumer disputes, and reconstructing regulations for the execution of arbitration in adjudicating consumer disputes based on justice value the research are done using a normative-juridical research method which relies on literature review and finding obtained in the field. Based on the findings of this research, several facts and inputs were found in the execution of consumer dispute resolution arbitration where there are still several weaknesses, namely Weaknesses in Legal Substance, which lies in the principles, processes and decisions of consumer dispute resolution through arbitration that is not in tune with Law no. 30 of 1999 concerning Arbitration and Alternative Dispute Resolution, weaknesses in the Legal Structure, namely problems in BPSK and Weaknesses in the Community/Consumers, namely the level of consumer awareness of their rights is still low. Based on the results of the research, it is recommended to reconstruct the provisions contained in Perma No.1 of 2006 concerning Procedures for Filing Objections to the Decision of the Consumer Dispute Settlement Agency, the amended provisions are Article 6 paragraph (2) and paragraph (5) as well as in Article 54 paragraph (3) Law no. 8 of 1999 concerning Consumer Protection.

Lipid Disorders among Diabetic Patients: An Observational Study

Background: Lipid disorder is one of the common disorders which is seen in most of the diabetic patients that causes cardiovascular disorders. The incidence of coronary artery diseases is 3 to 5 times higher in diabetic patients compared to general population. Although this has been demonstrated for the Caucasian population few data are available for Asian Indians and Bangladeshi population. Individuals with diabetes may have several forms of dyslipidemia leading to additive cardiovascular risk of hyperglycemia. The aim of this study was to evaluate the levels of lipid disorder among diabetic patients in Bangladesh. Methods: An observational study was conducted at the Department of Medicine in Sheikh Hasina Medical College Hospital, Jamalpur, Bangladesh during the period from August 2020 to April 2021. One hundred and four (104) diabetic patients were enrolled as study participants in the study. Proper written consents were taken from all the participants before starting data collection. A pre-designed questionnaire was used in patients` data collection. The serum total cholesterol (TC), HDL-cholesterol and triglycerides (TG) were assayed in patients and controls, using standardized assay methods. All data were processed, analyzed and disseminated by MS Office and SPSS version 21 as per need. Result: In this study, we observed that the mean (±SD) TC (mg/dl) of case and control group participants were 208.9±54.6 and 257.4±103.4 respectively where we found significant correlation between the groups (P=0.006). We did not find any correlation between the groups in analyzing TG (mg/dl), HDL (mg/dl) and LDL (mg/dl). In case group the mean (±SD) TG (mg/dl), HDL (mg/dl) and LDL (mg/dl) level were found 216.4±306.0, 39.2±11.0 and 114.8±47.4 respectively. On the other hand, in the control group the mean (±SD) TG (mg/dl), HDL (mg/dl) and LDL (mg/dl) level were found 222.9±124.0, 39.8±6.2 and 122.4±46.3 respectively. Conclusion: In this current study, in analyzing the comparative statuses of lipid profile we found significant correlation between the groups of diabetic and non-diabetic patients in serum total cholesterol component. Although in analyzing other components of lipid we did not get any significant correlation between the groups, we think lipid profiling may be a potential predictor of diabetic patient screening.

An Analysis of Track Effects on Storm Surge Simulation

This study investigates the effects of cyclone tracks on water levels during storm surges along the coast of Bangladesh. A numerical hydrodynamical model in Cartesian coordinates has been developed, where the developed equations are solved by a semi-implicit finite difference method. The boundary fitted grid technique is employed to rectangularized the physical domain. Along the north-east corner of the model, the Meghna River fresh water discharge is taken into account. A stable tidal regime over the region of interest is generated with the help of four major tidal constituents, namely M_2 (principal lunar semi diurnal), S_2 (principal solar semi diurnal), O_1 (principal lunar diurnal) and K_1 (principal lunar diurnal) along the southern open boundary of the outermost model. This previously generated tidal regime is used as the initial state of sea in order to obtain water levels due to the nonlinear interaction of tide and surge. Numerical experiments are made with the severe storm April 1991 and some hypothetical storm tracks. The simulated results with the real track are found to be in a good agreement with some observed and some reported data. The water levels are found to be greatly influenced by the hypothetical cyclone tracks.

Formulation and Evaluation of Posaconazole Bilayer Delayed Release Tablets Using Solid Dispersion Technique

The aim of present investigation to formulate bilayer tablets of posaconazole by using solvent evaporation technique. Posaconazole belongs to BCS class 2 which has high permeability and low solubility. In order to enhance the solubility of posaconazole solvent evaporation technique was applied where HPMC AS was used as carrier. This tablet consist of two layers of which first layer serves as loading dose which produce immediate release of drug and second layer serves as maintenance dose that provide controlled release of drug. The whole bilayer tablet is coated with Eudragit L30D55 to produce delayed release and protect drug from acid environment in stomach. The drug excipient compatibility study was performed by FTIR and no interaction was found. Croscaramellose was used in immediate release layer as superdisintegrant. Methocel K100M and Methocel E5M are used for sustain drug release in control release layer. The powder blend for evaluated for flow properties like angle of repose, bulk density, tapped density, Carr’s index and Hausner’s ratio which showed good results. Invitro dissolution studies was performed with USP dissolution apparatus 2- Paddle type. Invitro dissolution was performed for 2 hours in 0.1N HCl which showed no drug release followed by 6.8 phosphate buffer for 12 hours. The bilayer tablet showed initial release to provide loading dose of drug followed by controlled release up to 12 hours. Change in concentration of polymer and superdisintegrant showed impact on drug release profile. Increase in concentration of superdisintegrant in immediate release layer showed increased % drug release. Whereas increase in sustain release polymers in controlled release layer showed decrease % drug release. F9 batch showed satisfactory release up to 100% for 12 hours and was selected as best formulation. Reproducible batch for F9 was formulated and called F10 which also showed satisfactory results.

The twenty-first century has resulted in many challenges for educational systems. One such challenge is integrating learning experiences in educational institutions with practical realities and requirements. Implementing Competency-Based Curriculum (CBC) models for various disciplines would reduce the gap between theoretical knowledge acquired in the educational system and expenses needed in the labor market. This study, therefore, sought to establish the effect of availability and use of instructional resources on the implementation of the competency-based curriculum by grades 1, 2 and 3 teachers in public primary schools in Migori County. A descriptive survey design methodology was adopted. The study targeted 604 head-teachers, 1812 grade 1-3 teachers, and 8 sub-county quality assurance and standards officers from all the Sub-counties in Migori County. The sample size for the study was180 head teachers, 8 Sub County Quality Assurance Officers (SQAOs), and 544 grade 1-3 teachers. The researcher used 30 percent to get a sample size for 180 out of 604 head-teachers and grade 1-3 teachers respectively and saturated sampling, 100 percent to include all the 8 SQASOs in the final sample resulting to a sample size of 732 out of the 2424. Questionnaires and interview schedules were used to collect data. The validity of the instrument was subjected to expert opinions; further the questionnaire was pre-tested for coherency and comprehensiveness. Reliability was tested using a questionnaire duly completed in a pilot study. Internal consistency was determined by Cronbach’s Alpha Coefficient and it yielded reliability coefficient of 0.704, and 0.690 and 0.671 respectively for teachers and principals respectively. The study applied quantitative analysis techniques using descriptive and inferential statistics to analyze data. The research was carried out ethically. The findings showed a strong positive correlation significant at a 5% level of significance between the adequacy of the Teaching-Learning (T/L) resources and CBC implementation, as indicated by a Pearson’s correlation coefficient of 0.593. The study recommended increase of number of CBC in-service training sessions and use more competent facilitators, mandatory training for all teachers. The findings will be used by national education managers, the principles in the county and county education officers, Boards of Management and the community. They will contribute to the existing knowledge on teachers' preparedness to implement a competency-based curriculum.

Majority (56.77%) of teachers had attended training sessions and (59%) agreed to be well versed with the training themes. The study recommended increase of number of CBC in-service training sessions and use more competent facilitators, mandatory training for all teachers. The findings will be used by national education managers, the principles in the county and county education officers, Boards of Management and the community. They will contribute to the existing knowledge on teachers' preparedness to implement a competency-based curriculum.
